By using ResumAI, you agree to these terms. Please read them carefully — they govern your use of the Service and constitute a binding legal agreement between you and ResumAI.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ResumAI ("ResumAI," "we," "us," or "our") governing your access to and use of the ResumAI platform, website, and all associated products, features, tools, APIs, and services (collectively, the "Service"). By accessing or using the Service in any manner — including by creating an account, uploading a resume, initiating a payment, or simply browsing the Service — you acknowledge that you have read these Terms, that you understand them, and that you agree to be bound by them in their entirety. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must immediately discontinue your use of the Service and, if applicable, close your account. These Terms apply to all users of the Service, including visitors who browse the Service without registering. These Terms are effective as of the date indicated above and supersede all prior agreements between you and ResumAI relating to the subject matter hereof.
We reserve the right to modify these Terms at any time at our sole discretion. We will provide notice of material modifications by email or through a prominent notice within the Service at least seven (7) days before the modified Terms take effect. Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of those Terms. If you do not agree to the modified Terms, you must stop using the Service prior to the effective date of the modifications.

As used in these Terms, the following definitions apply. "Account" means the registered user account you create to access the Service. "Content" means any text, files, documents, data, or other materials you upload, submit, or otherwise provide to the Service. "AI-Generated Content" means any resume content, bullet points, summaries, or other output produced by the artificial intelligence features of the Service based on your Content. "Session" means a single resume tailoring workflow initiated through the Service, which may include uploading a resume, providing a job description, receiving AI-generated output, reviewing results, and downloading a formatted document. "Subscription" or "Purchase" means a paid transaction through which you unlock access to a Session or other paid features of the Service. "Candidate Matching Service" means the optional feature through which you may opt in to having your resume profile made available to recruiters on the ResumAI recruiter platform. "Recruiter" means a third-party hiring professional or organization that has registered on the ResumAI recruiter platform and agreed to ResumAI's recruiter terms of service. "Intellectual Property" means patents, copyrights, trademarks, trade secrets, moral rights, and all other proprietary rights. "Privacy Policy" means the ResumAI Privacy Policy available at the /privacy page of our website, incorporated herein by reference.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction if it is greater than 18, to use the Service. You must also be legally capable of entering into binding contracts under the laws of your jurisdiction. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to act on behalf of that entity and to bind it to these Terms, and all references to "you" in these Terms shall refer to both you individually and that entity.
The Service is not intended for and may not be used by individuals who are barred from receiving services under the laws of the United States or other applicable jurisdictions. We reserve the right to verify your eligibility at any time and to restrict or terminate access if we believe you do not meet the applicable eligibility requirements.

To access certain features of the Service, you must create an Account. When creating your Account, you agree to provide accurate, current, and complete information. You agree to promptly update your Account information to keep it accurate and current. You are solely responsible for maintaining the confidentiality of your Account credentials, including your password, and for all activity that occurs under your Account. You must not share your Account credentials with any third party or allow any third party to access your Account.
You agree to notify us immediately at support@resumai.com if you suspect or discover any unauthorized access to or use of your Account or any other breach of security. We will not be liable for any loss or damage arising from unauthorized access to your Account resulting from your failure to maintain the security of your credentials. You may be held liable for losses incurred by ResumAI or other users due to unauthorized use of your Account if such use arises from your failure to take reasonable security precautions.
You agree not to create multiple Accounts for the purpose of circumventing access restrictions, payment requirements, or limitations on the number of Sessions permitted under your current plan. We reserve the right to merge, suspend, or terminate duplicate or fraudulent Accounts at our sole discretion.

ResumAI offers paid services, including AI resume tailoring Sessions and other features that may be introduced from time to time. Access to paid features requires the completion of a Purchase through our checkout flow. All Purchases are processed through Stripe, Inc., our third-party payment processor. By initiating a Purchase, you authorize ResumAI and Stripe to charge your designated payment method for the total amount displayed at checkout, inclusive of any applicable taxes.
You represent and warrant that you are the authorized user of the payment method you provide and that all payment information you submit is accurate and complete. You agree to pay all charges incurred in connection with your Purchases, including any applicable taxes. In the event that your payment is declined or reversed, we reserve the right to suspend your access to paid features until the outstanding amount is resolved.
Prices for our services are displayed at checkout and are subject to change. Price changes will not affect Purchases you have already completed. All prices are in US dollars unless otherwise stated. We do not guarantee that pricing errors will be honored, and we reserve the right to cancel any transaction made at an erroneous price.
Purchases are for digital services that are delivered immediately or near-immediately upon successful payment confirmation. Completed Sessions remain accessible in your Account for as long as your Account remains active, subject to our data retention policies described in the Privacy Policy.

Because our services involve AI processing that begins immediately upon purchase confirmation, we operate a limited refund policy. All Sales are considered final once AI processing of your resume has commenced. We will not provide refunds based on dissatisfaction with AI-generated output, since the nature and quality of AI output depends significantly on the content you provide and cannot be guaranteed to meet subjective expectations.
We may, at our sole discretion, issue refunds or credits in the event of a documented technical failure that prevented the Service from completing a Session and that is attributable to a malfunction on our end rather than issues with your submitted content, your network connection, or your device. To request consideration of a refund, you must contact us at support@resumai.com within seven (7) days of the date of your Purchase, describing the issue in detail.
We reserve the right to deny refund requests that we determine, in our sole discretion, are inconsistent with these Terms, are fraudulent, or have been made in bad faith. Chargebacks initiated through your payment provider without first contacting us may result in suspension or termination of your Account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You represent and warrant that your use of the Service will not violate any applicable law or regulation, infringe upon the rights of any third party, or cause harm to ResumAI or its users. Without limiting the foregoing, you expressly agree not to engage in any of the following prohibited activities: using the Service for any illegal purpose or in violation of any federal, state, local, or international law or regulation; uploading or transmitting content that infringes or misappropriates any intellectual property rights, including copyrights, trademarks, or trade secrets, of any third party; attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code, underlying algorithms, AI prompts, machine learning models, or proprietary methodologies used in the Service; using any automated system, including bots, scrapers, crawlers, or scripts, to access, monitor, or extract data from the Service without our prior written consent; accessing or attempting to access any portion of the Service for which you have not completed a valid Purchase; transmitting malicious code, viruses, worms, trojan horses, or any software designed to disrupt, damage, or gain unauthorized access to systems; attempting to probe, scan, or test the vulnerability of the Service or any associated systems; interfering with or disrupting the integrity or performance of the Service or its infrastructure; using the Service to create, distribute, or facilitate the creation of fraudulent resumes that misrepresent a person's qualifications, experience, or identity to any employer; using the Service on behalf of third parties for commercial gain — including resume writing services, staffing agencies, or resume mills — without our prior written authorization; impersonating any person or entity or otherwise misrepresenting your identity or affiliation; and attempting to access another user's account or data without their consent.
Violation of any provision of this Acceptable Use section may result in immediate suspension or termination of your Account without refund. We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities in connection with any investigation of illegal activity conducted through the Service.

The Service uses large language model AI technology provided by third-party AI providers to improve, rewrite, and tailor the content of your resume. You acknowledge and agree that: (a) AI systems are inherently probabilistic and may produce content that is inaccurate, inconsistent, poorly phrased, or otherwise unsuitable for your specific use case; (b) AI-generated content is based solely on the information you provide and cannot reflect facts, experiences, or qualifications that you did not include in your uploaded resume; (c) ResumAI's AI is designed and prompted to preserve the factual accuracy of your resume and not to fabricate credentials, employment history, or qualifications, but we cannot guarantee that this design intent will be executed perfectly in every case; and (d) the quality of AI output is substantially affected by the quality, completeness, and clarity of the content you submit.
You are solely and exclusively responsible for reviewing all AI-Generated Content produced by the Service before using, submitting, or distributing it in any form. You must independently verify that every statement, description, date, title, credential, and piece of information in your AI-Generated Content is truthful, accurate, and consistent with your actual background and experience. You must not submit a resume to any employer that contains inaccurate, misleading, or fabricated information, regardless of whether that inaccuracy was introduced by an AI system or otherwise.
ResumAI makes no representation or warranty that use of the Service will result in any specific employment-related outcome, including but not limited to receiving interview invitations, job offers, salary increases, or any other professional benefit. The effectiveness of a resume is influenced by a wide range of factors entirely outside our control, including the preferences of individual hiring managers, labor market conditions, applicant volume, and the internal policies of the hiring organization.
We expressly disclaim all liability for any consequences — including but not limited to rejection of a job application, termination of employment, reputational harm, or any other adverse outcome — arising from the submission of AI-Generated Content that contains inaccuracies, whether or not such inaccuracies were introduced by the Service.

ResumAI offers an optional Candidate Matching Service that, when enabled by you, makes your resume profile available to registered Recruiters who are actively searching for candidates matching specific professional profiles. This feature is strictly opt-in and is not enabled by default. You may enable or disable this feature at any time through your Account settings. ResumAI will never share your resume or profile with any Recruiter unless you have explicitly enabled this feature.
By enabling the Candidate Matching Service, you grant ResumAI a limited, non-exclusive, revocable license to make your resume profile — which may include your professional history, job titles, educational background, skills, certifications, and career preferences — available to Recruiters on the ResumAI recruiter platform. You acknowledge that Recruiters who access your profile may contact you through the Service or, if you have made your contact information visible, through your disclosed contact details. You further acknowledge that ResumAI may charge Recruiters a fee for access to the recruiter platform or for connections made through the Service, and that this commercial arrangement is consistent with these Terms and does not constitute a sale of your personal data.
Recruiters are required, as a condition of accessing the ResumAI recruiter platform, to agree to terms that restrict their use of candidate data to legitimate candidate evaluation activities, prohibit further distribution of your data to third parties, and impose data retention limitations. However, ResumAI is not responsible for the conduct of Recruiters once they have accessed your profile through the Service, and we make no representations or warranties regarding the suitability, legitimacy, or trustworthiness of any particular Recruiter or job opportunity.
You may disable the Candidate Matching Service at any time, which will remove your profile from the Recruiter-facing platform within a commercially reasonable time period. Disabling the feature does not automatically cause Recruiters who have already received your information to delete it — you must contact those parties directly if you wish to exercise data deletion rights with respect to them.

All right, title, and interest in and to the Service — including but not limited to the ResumAI software, codebase, design, user interface, visual elements, brand identity, trademarks, service marks, logos, AI prompts, machine learning models, training methodologies, algorithms, proprietary workflows, documentation, and all other components of the Service — are and shall remain the exclusive property of ResumAI and its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Service, its underlying technology, or ResumAI's intellectual property, except for the limited right to use the Service as expressly permitted by these Terms. You may not copy, reproduce, modify, create derivative works of, distribute, publicly display, publicly perform, reverse engineer, decompile, or otherwise exploit any portion of the Service without our prior written consent.
ResumAI's name, logo, and associated marks are trademarks or registered trademarks of ResumAI. All other trademarks referenced in the Service are the property of their respective owners. Nothing in these Terms grants you any right to use ResumAI's trademarks or those of third parties without prior written consent.

You retain all ownership rights in the Content you upload to the Service, including your resume files, resume data, and any job descriptions or other materials you provide. By uploading Content to the Service, you grant ResumAI a limited, non-exclusive, worldwide, royalty-free, sublicensable license to use, store, process, transmit, copy, and display your Content solely for the purpose of providing and improving the Service to you. This license terminates when you delete your Content or close your Account, subject to any residual use necessary to fulfill our legal obligations or complete any pending operations.
You represent and warrant that: (a) you own or have the necessary rights to all Content you upload; (b) your Content does not violate any applicable law or regulation; (c) your Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party; and (d) you have the legal right to use the Service to process the Content, including submitting it to third-party AI services on your behalf.
We may use aggregate, anonymized, and de-identified data derived from Content submitted to the Service for the purposes of improving our AI models, Service performance, and product quality. Such data will not be attributable to you individually. We will not use identifiable Content for any purpose not described in these Terms or the Privacy Policy.

We will use commercially reasonable efforts to make the Service available on a continuous basis. However, we do not guarantee uninterrupted, error-free, or perfectly reliable access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled downtime, technical failures, third-party service outages (including outages affecting our AI providers, payment processor, or infrastructure providers), force majeure events, or other circumstances beyond our reasonable control.
We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, and without liability to you. We may introduce new features, change the pricing of existing features, or limit access to certain features as part of our ongoing product development and business operations. Material changes to paid features or pricing will be communicated to affected users in advance.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RESUMAI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RESUMAI DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; THAT THE QUALITY OF ANY AI-GENERATED CONTENT, PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM RESUMAI OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU IN FULL, IN WHICH CASE THE EXCLUSION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW IN YOUR JURISDICTION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESUMAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOST EMPLOYMENT OPPORTUNITIES, CAREER LOSSES, LOSS OF BUSINESS, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY AI-GENERATED CONTENT PRODUCED BY THE SERVICE, ANY CONTENT YOU SUBMIT TO THE SERVICE, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE (INCLUDING RECRUITERS PARTICIPATING IN THE CANDIDATE MATCHING SERVICE), OR ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF RESUMAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL RESUMAI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO RESUMAI IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) TEN DOLLARS ($10.00 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, RESUMAI'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless ResumAI and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your Content, including any claim that your Content infringes, misappropriates, or violates the intellectual property rights, privacy rights, or other rights of any third party; (d) your submission of a resume containing inaccurate or misleading information to any employer or application platform; (e) your participation in the Candidate Matching Service, including any interactions you have with Recruiters; or (f) your breach of any representation, warranty, or obligation set forth in these Terms.

You may terminate your Account and stop using the Service at any time. To request deletion of your Account, please contact us at support@resumai.com. Account deletion is subject to our data retention obligations as described in the Privacy Policy.
We reserve the right, in our sole discretion, to suspend or terminate your access to the Service at any time, for any reason, including without limitation if we determine that you have violated these Terms, engaged in fraudulent or abusive behavior, or posed a risk to other users or to the platform. In cases of serious or repeated violations, we may terminate your Account without prior notice. In less serious cases, we will attempt to provide reasonable prior notice and an opportunity to cure the violation where practicable.
Upon termination of your Account for any reason, your right to access and use the Service will immediately cease. Sections of these Terms that by their nature should survive termination — including Sections 8, 10, 13, 14, 15, 17, and 18 — shall survive termination and continue in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of the United States and the laws of the jurisdiction in which ResumAI is domiciled, without giving effect to any conflict of law principles that would require the application of the laws of a different jurisdiction. You agree that any legal action or proceeding relating to your use of the Service or these Terms shall be brought exclusively in the courts located in the jurisdiction in which ResumAI is domiciled, and you hereby consent to the personal jurisdiction of those courts. Notwithstanding the foregoing, ResumAI retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of its intellectual property rights or breach of these Terms.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, we encourage you to first contact us directly at support@resumai.com to attempt to resolve the matter informally. We will make a good-faith effort to resolve disputes through direct communication. If we are unable to resolve a dispute through informal means within thirty (30) days of your initial contact, either party may pursue the dispute through formal legal proceedings as permitted under these Terms.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RESUMAI EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ANY DISPUTE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and ResumAI with respect to your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties relating to the subject matter hereof. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of ResumAI. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms. These Terms shall be binding upon and inure to the benefit of the parties' permitted successors and assigns.
These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and ResumAI. Headings in these Terms are for convenience only and shall not affect the interpretation of any provision. All notices to ResumAI under these Terms must be sent by email to support@resumai.com.
